Welcome to EDP Car Care. The terms "we", "us" and "our" refer to EDP Car Care. EDP Car Care operates this website and online store, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). EDP Car Care's online store is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services. Please read these Terms carefully, as they include important information about your legal rights, including warranty disclaimers, limitations of liability, and a governing law clause.

By visiting, interacting with, or purchasing from our Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. To use the Services, including browsing our online store or purchasing products, you may be asked to provide certain information such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete, and that you have all rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person. SECTION 2 — OUR PRODUCTS

We have made every effort to accurately represent our products in our online store. However, colours or product appearance may differ from how they appear on your screen due to device type, display settings, and configuration. We do not warrant that the appearance or quality of any products purchased will meet your expectations or be identical to depictions in our online store.

All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit quantities of any product offered to any person, geographic region, or jurisdiction, on a case-by-case basis. Certain products may be available exclusively online and may have limited quantities.

EDP Car Care sells professional-grade automotive chemical products. All products must be used strictly in accordance with the product instructions, Safety Data Sheets (SDS), and applicable health and safety regulations. We reserve the right to limit or decline sales to any person or region where local regulations restrict or prohibit the use, transport, or storage of our products.

SECTION 3 — PRODUCT SAFETY AND CHEMICAL USE DISCLAIMER

EDP Car Care products are professional-grade automotive chemical formulations. By purchasing and using our products, you acknowledge and agree to the following:

(a) Instructions: You will read and follow all product instructions, labels, and Safety Data Sheets (SDS) prior to use. SDS documents are available upon request at hello@edpcarcare.com.

(b) Personal Protective Equipment (PPE): You will use appropriate PPE as indicated on the product label and SDS, including but not limited to gloves, eye protection, and respiratory protection where required.

(c) Surface Compatibility: You accept sole responsibility for ensuring that each product is suitable for the surfaces, materials, and conditions to which it will be applied. EDP Car Care accepts no liability for damage resulting from application to incompatible, previously treated, or compromised surfaces.

(d) Dilution and Application: You will follow all recommended dilution ratios and application methods. EDP Car Care accepts no liability for damage, injury, or loss arising from improper dilution, incorrect application technique, or use contrary to product instructions.

(e) Storage and Handling: You will store and handle products in accordance with SDS guidelines, including compliance with applicable storage class requirements, temperature restrictions, and segregation from incompatible materials.

(f) Disposal: You will dispose of products and their containers in accordance with all applicable local, state, federal, and international environmental regulations. You acknowledge that certain products may carry aquatic hazard classifications and must not be disposed of via drains, watercourses, or sewer systems.

(g) Misuse: EDP Car Care accepts no liability for any injury, property damage, or loss arising from misuse, abuse, unauthorised modification, or use of our products in a manner inconsistent with their intended purpose.

Nothing in this section limits any rights you may have under applicable consumer protection laws.

SECTION 4 — ORDERS

When you place an order, you are making an offer to purchase. EDP Car Care reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until EDP Car Care confirms acceptance. We must receive and process your payment before your order is accepted.

Please review your order carefully before submitting, as EDP Car Care may be unable to accommodate cancellation requests after an order is accepted. In the event that we do not accept, modify, or cancel an order, we will attempt to notify you using the contact details provided at the time of order.

We reserve the right to refuse or cancel orders that, in our sole judgement, appear to be placed by dealers, resellers, or distributors purchasing for commercial resale via our consumer store. Trade and distributor enquiries should be directed to hello@edpcarcare.com. Your purchases are subject to return or exchange solely in accordance with our Refund Policy [LINK].

SECTION 5 — PRICES, TAXES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed, as set out in your order confirmation. Unless otherwise expressly stated, posted prices do not include applicable taxes, duties, shipping, handling, customs, or import charges, which will be calculated and displayed at checkout where applicable.

Prices posted in our online store may differ from prices offered in physical studios or through third-party retailers. From time to time we may offer promotions governed by separate terms; in the event of a conflict between promotion terms and these Terms, the promotion terms will govern.

You agree to provide current, complete, and accurate payment and account information for all purchases. You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you are duly authorised to use such payment method; (iii) charges incurred will be honoured by your payment provider; and (iv) you will pay all charges at posted prices, including applicable taxes and shipping.

SECTION 6 — SHIPPING AND DELIVERY

We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, regulatory inspections of chemical products, or events outside our control.

Once we transfer products to the carrier, title and risk of loss pass to you. Certain products may be subject to shipping restrictions due to their chemical classification (including hazardous goods regulations) and may not be available for delivery to all regions. It is your responsibility to ensure that import of our products is lawful in your jurisdiction.

SECTION 7 — INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product formulations, reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by EDP Car Care, its affiliates, or licensors and are protected by U.S. and foreign patent, copyright, and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent. Unauthorised use of the Services may be a violation of applicable intellectual property laws. All rights not expressly granted herein are reserved by EDP Car Care.

EDP Car Care's names, logos, product and service names, designs, and slogans are trademarks of EDP Car Care or its affiliates or licensors. You must not use such trademarks without our prior written permission. Shopify's name, logo, and related marks are trademarks of Shopify Inc.

SECTION 8 — GENERAL CONDITIONS AND DATA TRANSMISSION

We reserve the right to refuse service to anyone for any reason at any time at our sole discretion.

You understand that your content (excluding payment card information) may be transmitted unencrypted and may involve: (a) transmissions over various networks; and (b) changes to conform and adapt to the technical requirements of connecting networks or devices. Payment card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from EDP Car Care.

SECTION 9 — OPTIONAL TOOLS AND THIRD-PARTY LINKS

You may be provided with access to tools offered by third parties as part of the Services, which we neither monitor nor have control over. We provide access to such tools "as is" and "as available" without any warranties or endorsement. We shall have no liability arising from your use of optional third-party tools.

The Services may contain hyperlinks to third-party websites. We are not responsible for the content or accuracy of any third-party websites. If you choose to access third-party websites, you do so at your own risk. We are not liable for any harm or damages related to your use of third-party websites, products, or services. Please review the third party's policies before engaging in any transaction.

SECTION 10 — RELATIONSHIP WITH SHOPIFY

However, any sales and purchases you make in our store are made directly with EDP Car Care. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and EDP Car Care, including any injury, damage, or loss resulting from purchased products. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with EDP Car Care.

SECTION 11 — PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy [LINK]. By using the Services, you acknowledge that you have read and understood our Privacy Policy. Because the Services are hosted by Shopify, Shopify also collects and processes personal information about your access to and use of the Services. Information you submit may be shared with Shopify and third parties located in countries other than your country of residence in order to provide services to you.

Occasionally there may be information on the Services that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).

In addition, you agree not to: (a) upload or transmit viruses or malicious code; (b) reproduce, duplicate, copy, sell, or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, spider, crawl, or scrape; or (e) interfere with or circumvent the security features of the Services or any related website. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.

These Terms are effective unless and until terminated by either you or EDP Car Care. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or by ceasing to use our site.

We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice if we determine or reasonably suspect that you have failed to comply with any term of these Terms. You will remain liable for all amounts due up to and including the date of termination.

The following sections will survive termination: Intellectual Property, Feedback, Product Safety and Chemical Use Disclaimer, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any provisions that by their nature should survive termination.

SECTION 16 — DISCLAIMER OF WARRANTIES

THE INFORMATION ON THE SERVICES IS PROVIDED FOR GENERAL INFORMATION PURPOSES ONLY. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THIS INFORMATION. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS STRICTLY AT YOUR OWN RISK.

EXCEPT AS EXPRESSLY STATED BY EDP CAR CARE, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

SECTION 17 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL EDP CAR CARE, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING BUT NOT LIMITED TO ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless EDP Car Care, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, payable to any third party due to or arising out of: (1) your breach of these Terms of Service or the documents they incorporate by reference; (2) your violation of any law or the rights of a third party; or (3) your access to and use of the Services, including any misuse of our products contrary to product instructions or Safety Data Sheets.

We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defence and settlement of such claim at your expense but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld).

SECTION 19 — SEVERABILITY

In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 20 — WAIVER; ENTIRE AGREEMENT

The failure of EDP Car Care to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms, together with any policies or operating rules posted by us on the Services, constitute the entire agreement and understanding between you and EDP Car Care and govern your use of the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

SECTION 21 — ASSIGNMENT

You may not delegate, transfer, or assign this agreement or any of your rights or obligations under these Terms without our prior written consent; any such attempt will be null and void. EDP Car Care may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you.

SECTION 22 — GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You and EDP Car Care consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for the resolution of any disputes arising under or in connection with these Terms.

Notwithstanding the foregoing, nothing in these Terms limits or excludes any rights you may have under the mandatory consumer protection laws of your country or state of residence that cannot be contractually waived.

We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. We will notify you of any material changes in accordance with applicable law.
